On September 8, 2010, Warner Chilcott plc paid a special cash dividend in the amount of $8.50 per share to its shareholders of record as of August 30, 2010. At the time the special cash dividend was paid, the Company indicated that the character of the dividend for U.S. tax purposes would be determined as of the end of 2010. The Company has determined that it has sufficient earnings and profits for U.S. tax purposes for one hundred percent (100%) of the special cash dividend to be treated as a taxable dividend for U.S. tax purposes. Thus, the Company expects that the entire distribution received by shareholders will be treated as a "qualified dividend" for U.S. tax purposes.
